Professional Provider Terms and Conditions
A Provider who is accepted as a Contractor, Architect, or Designer with ImproveNet, Inc. acknowledges, accepts, and agrees to be bound by the following Terms and Conditions:
Customer Leads
ImproveNet, Inc. provides pre-screened leads from service requesters who are planning improvement projects. When a lead is accepted and confirmed to providers, customer contact must be initiated within one business day of receiving confirmation. If no contact is made within 5 business days thereafter, providers are to notify ImproveNet, Inc. Customer Leads cannot be transferred, assigned, or given to anyone except the provider accepting the lead.
Liability Insurance
A certificate of comprehensive general liability insurance with the required amount for the particular trade, as set by ImproveNet, will be obtained naming ImproveNet, Inc. as a certificate holder. The policy is to remain in force for the duration of any project contracted as a result of an ImproveNet, Inc. Customer Lead.
Workers' Compensation Insurance
Providers must provide Workers' Compensation Insurance where required by law.
Credit Checks
Business and/or personal credit will be periodically checked through a credit-reporting agency. Failure to maintain credit consistent with ImproveNet, Inc. standards will cause suspension or termination from receiving Customer Leads.
Licenses
Providers must provide proof of current licenses for all jurisdictions and trades, where required, for services it intends to perform.
Subcontractors
Subcontractors used to perform work contracted from Customer Leads must meet insurance requirements as if they are a provider or the provider must provide coverage under their policies.
Performance Standards
Providers are responsible for all supervision, schedules, budgets, labor, equipment, materials and supplies for jobs contracted from Customer Leads. Providers are to perform all jobs consistent with highest prevailing standards and in accordance with applicable laws, permits, codes, safety regulations and procedures. Providers must be properly equipped, organized, and financed to perform home repairs and improvements.
Providers who accept ImproveNet project leads that qualify for the Project Performance Guarantee are required to complete all projects in accordance with the scope of work described in the project contract and to generally accepted construction standards. The provider agrees to indemnify ImproveNet for any expense incurred by ImproveNet or any third party to complete a guaranteed project if the provider is unable or unwilling to do so.
Ethics
Providers must maintain a high standard of honesty, integrity, and responsibility in the conduct of their business.
Specialty Programs
Providers participating in any ImproveNet Specialty Program agree to process all ImproveNet assignments in accordance with the defined "Participant Service Standards" for such Specialty Program. These may include, but are not limited to, procedures, tasks, service time frames, and participation qualification requirements.
Service Requester Contract
Providers shall have a written agreement with each Customer before commencement of work using a fair and reasonable contract that meets the providers State requirements for content. The contract must have sufficient detail and include all items required for the provider's scope of work.
Independent Contractor
Providers shall perform all jobs as an independent contractor and not as an agent, employee, or partner of ImproveNet, Inc.
Fees
ImproveNet, Inc. charges fees for Customer Leads for which the provider receives confirmation. ImproveNet charges win fees for projects contracted as a result of confirmed customer leads. Win fees will be due for all revenue derived from the service requester for the referred project. Win fees are also due for any other projects begun for that requester for one year, after the date of the original requester lead. These fees are detailed in a pricing schedule published by ImproveNet, Inc. from time to time.
Providers must report jobs contracted as a result of Customer Leads within 24 hours of execution of a contract or commencement of work whichever comes first. Failure to report contracted jobs may result in termination from the ImproveNet program and exclusion from receiving future Customer Leads.
Termination
Either ImproveNet, Inc. or the Provider may terminate this agreement for any reason without notice. This includes and is not limited to: failure to comply with Terms and Conditions, failure to pay for services provided, adverse customer ratings, failure to report activity, or not providing information required to maintain superior service to a service requester.
Indemnification
Providers shall take all necessary precautions to prevent injury or property damage to any Customer or other person while performing its obligations as a provider. Providers shall indemnify and hold harmless ImproveNet, Inc. and its officers, agents directors, and employees against any claim, loss, judgment, expense and injury to person or property resulting directly or indirectly, in whole or part, for any act, omission, or negligence on the part of the Provider or any subcontractors employed by Provider, in the performance or failure to perform the scope of work covered by these Terms and Conditions.
Modification
These terms and conditions express the entire understanding between ImproveNet, Inc. and Providers. ImproveNet reserves the right to change these Terms and Conditions from time to time at their sole discretion and authority.
Applicable Law
The laws of the State of California shall govern these Terms and Conditions.
